Section 1

Definitions

For purposes of this Agreement, the following terms have the meanings set forth below:

  • "Puent3," "we," "us," or "our" refers to Puent3 LLC, a Wyoming limited liability company.
  • "Client," "you," or "your" refers to the business entity or individual who has registered and been approved to use the Puent3 platform.
  • "Services" means the cross-border stablecoin payment services provided by Puent3, including USDC conversion, routing, and fiat off-ramp delivery.
  • "USDC" means USD Coin, a regulated US dollar-backed stablecoin issued by Circle Internet Financial, LLC.
  • "Transaction" means any individual payment instruction submitted by Client through the Puent3 platform.
  • "Platform" means the Puent3 WhatsApp-based payment interface, client portal, and any associated systems.
  • "KYC" means Know Your Customer identity verification procedures.
  • "AML" means Anti-Money Laundering compliance screening procedures.
Section 2

Nature of Services

Puent3 facilitates cross-border payments by accepting stablecoins from registered clients, routing funds through regulated blockchain infrastructure via our licensed off-ramp partner Bridge (bridge.xyz), and delivering local currency to designated recipients via licensed partner financial institutions.

Puent3 is not a bank, broker-dealer, or money services business licensed in all jurisdictions. Puent3 operates as a technology-enabled payment facilitator using regulated stablecoin infrastructure. Clients are responsible for understanding applicable regulations in their jurisdiction.

Important: Puent3 is currently in pre-launch / early access. Services may be limited, modified, or suspended at any time as we build toward full commercial launch.
Section 3

Eligibility

To use the Puent3 platform, you must:

  • Be a legally registered business entity or an individual of legal age in your jurisdiction (18 or older).
  • Be located in a jurisdiction where the Services are available.
  • Successfully complete Puent3's identity verification (KYC) process prior to submitting any payment.
  • Not be subject to sanctions, debarment, or financial restrictions under US law or the laws of your country of residence or operation.
  • Have agreed to these Terms of Service through the onboarding consent checkbox at registration.

Puent3 reserves the right to reject or terminate any Client account at its sole discretion.

Section 4

KYC / AML Requirements

All clients must complete identity verification before any payment is processed. This includes government-issued ID verification, liveness confirmation, Politically Exposed Person (PEP) screening, and watchlist review.

Every transaction is screened against global sanctions databases and AML risk indicators before execution. Puent3 may request additional documentation at any time. Failure to provide documentation may result in payment delays, holds, or account termination.

Puent3 is required by law to report suspicious activity to applicable authorities and may be required to freeze or return funds in certain circumstances without prior notice to the Client.

Section 5

Fees

Puent3 charges a fee on each transaction processed through the platform. The applicable fee rate will be disclosed to the Client before confirming each payment. By confirming a payment, the Client accepts the quoted fee.

Fees are subject to change. Puent3 will provide at least seven (7) days' written notice before implementing fee changes for existing clients. Continued use of the platform after the effective date of any fee change constitutes acceptance of the new fee structure.

Transparency commitment: No fees are added after a quote is confirmed. The rate you see is the rate you pay.
Section 6

Payment Processing

Client instructs Puent3 via the WhatsApp platform or client portal by specifying the recipient, amount, and destination currency. Puent3 will provide a real-time quote including the exchange rate, fee, and estimated delivery amount. Payment execution begins only after Client confirms the quoted terms.

Settlement times depend on the destination corridor and partner institutions. Puent3 targets fast settlement but does not guarantee specific delivery times. Puent3 does not guarantee delivery times and is not liable for delays caused by recipient banks, regulatory holds, or force majeure events.

All transactions are final once the stablecoin transfer from the client to the designated address is confirmed on the blockchain. Puent3 does not guarantee refunds on completed transactions except in cases of verified processing error by Puent3.

Section 7

Prohibited Transactions

Client agrees not to use the Puent3 platform for any of the following:

  • Transactions that violate US or international sanctions, including OFAC, UN, or EU sanctions lists.
  • Money laundering, terrorist financing, or any activity prohibited by applicable law.
  • Payments related to illegal goods, services, gambling, or adult content.
  • Structuring transactions to evade reporting requirements.
  • Payments to or from sanctioned jurisdictions or entities.
  • Any transaction that Puent3 determines, in its sole discretion, presents unacceptable compliance or reputational risk.

Violation of this section may result in immediate account termination, fund freezing, and reporting to regulatory authorities.

Section 8

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUENT3 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE USE OF THE SERVICES.

Puent3's total aggregate liability to any Client for any claim arising under this Agreement shall not exceed the total fees paid by that Client to Puent3 in the thirty (30) days immediately preceding the claim.

Puent3 is not responsible for losses caused by blockchain network congestion, partner institution failures, regulatory actions, exchange rate fluctuations between quote and execution, or events outside Puent3's reasonable control.

Section 9

Indemnification

Client agrees to indemnify, defend, and hold harmless Puent3 LLC, its members, managers, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Client's use of the Services in violation of this Agreement or applicable law.
  • Any fraudulent, misleading, or unauthorized transaction submitted by Client.
  • Client's violation of any third-party rights.
  • Any regulatory action resulting from Client's conduct.
Section 10

Data Privacy

Puent3 collects and processes personal and business information as required to provide the Services, comply with legal obligations, and improve the platform. This includes identity documents, transaction data, and communication records.

Client information is retained in accordance with applicable law and Puent3's data retention policies. Puent3 does not sell Client personal information to third parties. Information may be shared with identity verification providers, compliance screening services, and partner institutions as necessary to complete transactions.

Puent3 implements reasonable technical and organizational measures to protect Client data. Clients have the right to request access to or deletion of their personal data, subject to applicable legal and regulatory retention obligations.

Section 11

Termination

Either party may terminate this Agreement at any time by providing written notice to the other party. Puent3 may suspend or terminate access immediately and without prior notice if Client has violated this Agreement, poses a compliance risk, or if required by regulatory authority.

Upon termination, Client's access to the platform will be disabled. Any pending transactions at the time of termination will be handled in accordance with applicable law and Puent3's compliance obligations.

Section 12

Modifications to Agreement

Puent3 reserves the right to modify this Agreement at any time. Clients will be notified of material changes via email or in-platform notification at least seven (7) days prior to the effective date. Continued use of the Services after such notification constitutes acceptance of the modified terms.

Section 13

Dispute Resolution and Arbitration

Mandatory Binding Arbitration. Except as provided below, any dispute, controversy, or claim arising out of or relating to this Agreement shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Governing Law and Venue. This Agreement shall be governed by the laws of the State of Wyoming, USA. Arbitration shall take place in Cheyenne, Wyoming, or via video conference at the parties' mutual agreement.

Class Action Waiver. You and Puent3 agree that any arbitration shall be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may seek relief in a court of competent jurisdiction for claims within small claims court jurisdiction, injunctive relief to prevent unauthorized use of intellectual property, or any claim that cannot legally be arbitrated.

Fees. AAA fees shall be allocated per AAA Commercial Arbitration Rules. For claims under $10,000, Puent3 will pay all AAA fees unless the arbitrator finds the claim frivolous.

Time Limitation. Any claim must be filed within one (1) year after the cause of action arises or it is permanently barred.

Section 14

General Provisions

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings.
  • Severability: If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
  • Waiver: Failure to enforce any provision of this Agreement shall not constitute a waiver of future enforcement rights.
  • Assignment: Client may not assign this Agreement without Puent3's prior written consent. Puent3 may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
  • Notices: Notices to Puent3 must be sent to legal@puent3.io. Notices to Client will be sent to the email address on file.
  • Electronic Consent: By checking the consent checkbox during onboarding registration, Client affirms that they have read, understood, and agreed to be bound by this Agreement. This electronic consent is valid and enforceable under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
